Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Neurise healthcare management platform ("Platform"), provided by Neurise ("Neurise," "we," "our," or "us"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

These Terms apply to all users, including healthcare facility administrators, staff members, and residents accessing the Platform through their affiliated facility.

1. Eligibility and Access

• Access to the Platform is granted only to authorized users of registered healthcare facilities.
• You must be at least 18 years of age to access the Platform as a staff member or administrator.
• Your account credentials are personal and non-transferable. You are responsible for maintaining the confidentiality of your login information.
• You agree to notify your facility administrator immediately of any unauthorized access to your account.
• We reserve the right to suspend or terminate access for any violation of these Terms.

2. Permitted Use

The Platform is provided solely for lawful healthcare management and wellness purposes. You agree to use the Platform only to:

• Manage facility operations, staff, and resident wellness data within your authorized role.
• Access and review health information you are authorized to view under applicable laws and your facility's policies.
• Communicate with residents and staff in furtherance of care delivery and facility management.

3. Prohibited Conduct

You agree not to:

• Access, use, or disclose Protected Health Information (PHI) in violation of HIPAA or any applicable law.
• Share your credentials with any other person or allow unauthorized access to the Platform.
• Attempt to gain unauthorized access to any part of the Platform, its infrastructure, or other users' accounts.
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Platform.
• Introduce malware, viruses, or other harmful code into the Platform.
• Use the Platform to harass, harm, or discriminate against any individual.
• Use automated tools, bots, or scrapers to access or extract data from the Platform without authorization.
• Violate any applicable local, state, national, or international law or regulation.

4. Healthcare Disclaimer

The Platform is a healthcare management and operational tool. It is not a substitute for professional medical advice, diagnosis, or treatment. Information provided through the Platform, including wellness insights and voice assistant interactions, is for informational and care coordination purposes only. Always consult qualified healthcare professionals for medical decisions. Neurise is not liable for any clinical decisions made based on information provided through the Platform.

5. Intellectual Property

All content, features, functionality, trademarks, logos, and technology comprising the Platform are the exclusive property of Neurise or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for its intended purpose. No other rights are granted.

6. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy. Facility administrators are responsible for ensuring their use of the Platform complies with HIPAA and all applicable privacy laws.

7. Availability and Modifications

We strive to maintain high Platform availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any feature or the Platform itself at any time, with or without notice. We will make reasonable efforts to notify users of material changes affecting their use of the Platform.

8. Third-Party Services

The Platform may integrate with third-party services (e.g., authentication providers, voice technology providers). Your use of such third-party services is subject to their respective terms and privacy policies. Neurise is not responsible for the practices or content of third-party services.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. NEURISE DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEURISE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NEURISE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOUR FACILITY TO NEURISE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Neurise and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any applicable law or regulation, including HIPAA.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property or data security violations.

13. Changes to These Terms

We may update these Terms at any time. We will notify users of material changes by updating the "Last Updated" date and, where appropriate, providing in-app or email notification. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
